Welcome to Bounce.ai! These Terms of Use constitute an agreement between you and Bounce.ai concerning the Bounce.ai mobile application (the “App”). Throughout these Terms, we may refer to Bounce.ai as “Bounce.ai,” “Company,” “we,” or “us.” The App, along with any content, tools, features, and functionality offered through it, collectively constitute the “Services.”These Terms govern your access to and use of the Services. Please review them carefully, as they contain important information about your legal rights. By using our Services in any manner, you agree to be bound by these Terms. If you do not agree with these Terms, unfortunately, you may not access or use our Services.

Our Services

At Bounce.ai, we believe that conversational AI will fundamentally reshape how we interact with computers in our daily lives. As you engage with our Services, we aim to continually enhance this emerging technology to make it more helpful, collaborative, and enjoyable to communicate with.Acknowledging the early stage of this technology, we recognize the need for ongoing improvement to ensure our Services reach their full potential. As part of this, you understand that:

• We will utilize the content of your conversations to enhance our Services. This includes using conversation content and metadata to train our models, improve our Services, and develop new offerings. Details regarding our data usage are outlined in our Privacy Policy.

• Your usage of our Services must adhere to our Acceptable Use policy. Access to our Services is contingent upon your agreement to use them in accordance with both these Terms and our Acceptable Use policy (detailed below in the “Acceptable Use” section).

• The information provided by our Services may not always be accurate. You acknowledge that any information received from our Services may not be entirely accurate or reliable. Please refrain from solely relying on this information without independently verifying it or consulting a professional. Ensuring factual accuracy remains an ongoing focus within the field of conversational AI, and it remains a priority in the development of Bounce.ai Services. Please review the “No Warranties” section below.

Use of Service

Your Registration Obligations. By registering to use the Services, you agree to provide accurate and complete information about yourself.Member Account, Password and Security. You are responsible for maintaining the confidentiality of your password and account and for all activities that occur under your password or account. Please promptly notify Bounce.ai of any unauthorized use of your password or account or any other security breach. Bounce.ai shall not be liable for any loss or damage arising from your failure to comply with these obligations.General Practices Regarding Use and Storage. You acknowledge that Bounce.ai may establish general practices and limits concerning the use of the Services. This may include, without limitation, the maximum period for which data or other content will be retained by the Services and the maximum storage space allocated on Bounce.ai’s servers. You agree that Bounce.ai bears no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to the Services. Bounce.ai reserves the right to terminate inactive accounts and to modify these practices and limits at its discretion, with or without notice.**Email Notifications.**You consent to receive electronic notifications from us at the email address you provide. These notifications may relate to your account, service updates, or other platform-related communications.

Acceptable Use

You agree to use our Services in accordance with the following rules, as well as any other written policies we may provide from time to time:

• Legal Compliance: Your use of our Services must comply with applicable laws. If your usage is restricted by applicable laws, you are not authorized to use our Services for that purpose.

• Harmful Content: You may not use our Services to generate or distribute harmful content. This includes material that poses a serious risk to yourself or others, unethical content, or misinformation. Additionally, attempts to create content fraudulently represented as human-generated are prohibited.

• Abusive Content: You may not use our Services to produce hateful or discriminatory content, sexually explicit material, depictions of graphic violence, or similarly shocking content.

• Rights Infringement: You may not use our Services to infringe or violate the rights of others, including their privacy rights. This includes attempts to obtain personal information of individuals, such as phone numbers or addresses, without proper authorization.

• Security: You may not attempt to disable, disrupt, or circumvent the security measures of our Services. This includes bypassing or disabling content moderation and safety features.

• Reverse Engineering: You may not attempt to reverse engineer, decompile, or otherwise access the underlying models, algorithms, or source code of our Services. Engaging in such activities, or any activities intended to develop competitive products, is strictly prohibited.

• Scraping: You may not scrape, “crawl,” or “spider” any page, data, or part of our Services, whether manually or using automated means.

Subscription Services

• Subscription Offering: Our Services may include premium content or features accessible through subscription plans ("Subscription Services"). The details of these Subscription Services, including the content, features, and duration of each plan, will be clearly presented within the App.

• Subscription Pricing: The pricing for our Subscription Services will be clearly displayed within the App and may vary based on the subscription type and your region. You agree to pay the fees indicated for the subscription service you selected.

• Billing and Payment: Payment for Subscription Services will be processed through your Apple App Store account. By subscribing, you authorize us to charge the applicable subscription fees to your chosen payment method via the App Store.

• Automatic Renewal: SUBSCRIPTIONS WILL AUTOMATICALLY RENEW FOR THE SAME PERIOD AS YOUR INITIAL SUBSCRIPTION UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE THE END OF THE CURRENT SUBSCRIPTION PERIOD. You can manage and cancel your subscriptions through your Apple App Store account settings.

• Free Trials: We may offer free trial periods for certain Subscription Services. If a free trial is offered, the specific terms and duration will be indicated within the App. AT THE END OF THE FREE TRIAL PERIOD, YOU WILL BE AUTOMATICALLY CHARGED THE APPLICABLE SUBSCRIPTION FEE UNLESS YOU CANCEL BEFORE THE END OF THE TRIAL PERIOD. You can cancel your free trial through your Apple App Store account settings.

• Cancellation: You can cancel your Subscription Service at any time through your Apple App Store account settings. The cancellation will be effective at the end of the current billing period, and you will continue to have access to the Subscription Services until that time. No refunds or credits will be provided for partial subscription periods.

• Price Changes: We reserve the right to change the pricing of our Subscription Services at any time. We will provide reasonable notice of any price changes. Continued use of the Subscription Services after the price change takes effect constitutes your acceptance of the new price. If you do not agree with the price change, you have the right to cancel your subscription before the change takes effect.

Content

During your use of our Services, you will input text and other media (“Content”). You agree not to input any Content that you do not own, unless you have obtained prior written consent from the relevant rights holder.While you retain ownership of your Content, you grant Bounce.ai a royalty-free, perpetual, irrevocable, and worldwide license to use your Content for the following purposes:

• Operating the Services: We may use, reproduce, modify, or otherwise process your Content to provide and maintain the Services. This includes activities necessary for legal compliance, cross-channel service provision, user safety, and policy enforcement.

• Improving the Services: Your Content may be used to enhance our Services and develop new features. This includes analyzing conversation content for feature insights, using Content for model training, and evaluating service performance.

This license is subject to our Privacy Policy, which outlines our internal management and use of Content. Please review it carefully.

Intellectual Property

• Bounce.ai Intellectual Property: These Terms do not grant you any right, title, or interest in our Services, trademarks, or other intellectual property.

• Feedback: We welcome feedback, ideas, and proposals. However, by providing such feedback, you acknowledge that we may use it without restriction, compensation, or notice.

• Copyright Notices: If you believe your copyright has been infringed on our Services, please send a DMCA compliant notice to help@gobounce.ai. Upon receipt of a compliant notice, we will promptly address the identified infringement.

Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL BOUNCE.AI BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA, OR (B) FOR ANY DIRECT DAMAGES, COSTS, LOSSES OR LIABILITIES IN EXCESS ONE HUNDRED ($100) U.S. DOLLARS. THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THESE TERMS BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THESE TERMS.

No Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BOUNCE.AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.BOUNCE.AI MAKES NO WARRANTY THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

Third-Party Services and Websites

Our Services may provide links or access to services, sites, and resources offered by third parties (“Third-Party Services”). Your access and use of Third-Party Services are subject to additional terms and conditions, privacy policies, or agreements with those third parties. Bounce.ai has no control over Third-Party Services and is not responsible for their accuracy, availability, or privacy practices. We encourage you to review third-party privacy policies before using such services. Any interactions with third parties while using our Services are solely between you and the third party.

Terminating Your Account

Bounce. ai is free to terminate or suspend access to your use of our Services at any time and for any reason at our discretion. Reasons for termination may include our determination that you have violated these Terms, where we determine it is necessary to ensure user safety, for legal compliance reasons, or where we believe it necessary to protect the rights or property of Bounce. ai.You may also request a deletion of our account by contacting help@gobounce.ai Please be advised that for security and privacy reasons we may request information to verify your entity in order to process these requests.You agree that provisions of these Terms pertaining to indemnification, limitations of liability, intellectual property, dispute and arbitration, and any other terms that - by their nature - should survive termination of the Terms, shall survive.

Changes to the Services

Artificial intelligence is a fast-moving field, and Bounce. ai is continually working to make our Services better for our users. This means that our Services can and will change over time. Bounce. ai may augment, modify, discontinue, or suspend any part of our Services at any time. We will work to provide advance notice to you where appropriate, but you acknowledge that this may not always be possible.

Changes to These Terms

Bounce. ai reserves the right to amend these Terms at any time for any reason. We will provide notice of these changes by updating this page with the revised Terms and updating the effective date. No other amendments to the Terms shall be effective unless in writing and signed by you and a representative of Bounce. ai.The use of any of our Services after such an amendment to the Terms shall be considered an acceptance of all changes to the Terms. If you do not agree with the revised Terms, you must immediately cease any use of our Services.

Miscellaneous Terms

• Violations: Bounce.ai reserves the discretion to determine whether a user is in violation of these Terms.

• Indemnification: You agree to indemnify and hold Bounce.ai harmless from any claims, liabilities, damages, losses, and expenses arising from your use of our Services or violation of these Terms.

• Assignment: You may not assign rights or obligations under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

• Choice of Law: These Terms are governed by federal law and the laws of California, without regard to conflicts of laws.

• Arbitration: Any disputes arising from these Terms shall be resolved by arbitration in Santa Clara County, California, in accordance with JAMS rules.

• Jurisdiction and Venue: You consent to jurisdiction and venue in Santa Clara County, California, or the Northern District of California for all purposes related to these Terms.

• Class Action Waiver: Claims against Bounce.ai must be brought on an individual basis and may not be consolidated with other claims.

• No Joint Venture or Beneficiaries: You acknowledge that these Terms do not create a joint venture or third-party beneficiary relationship.

• Waiver: The failure to exercise any right under these Terms does not constitute a waiver of that right.

• Notices: Notices under these Terms shall be provided to the contact information provided to Bounce.ai during registration. Notices to Bounce.ai may be sent to help@gobounce.ai or to our mailing address.

• Severability: If any provision of these Terms is found invalid, the remainder of the Terms shall remain in full force and effect.

• Entire Agreement: These Terms constitute the entire agreement between you and Bounce.ai, superseding all prior agreements and understandings.
